SERVICES PROVIDED (NON-MEDICAL)

a) Emergo Academy provides and teaches recovery and wellness services which are strictly non-medical in nature.

b) Both parties acknowledge and agree that Emergo Wellbeing is not a medical or healthcare provider and does not offer medical advice, prescriptions or medication recommendations, nor does it diagnose, treat, or cure diagnosed physical or mental illnesses.

WAIVER, RELEASE AND INDEMNITY

In consideration of the services provided by Emergo Academy, the User, and on behalf of the User’s executors, administrators, heirs, next of kin, representatives, successors, and assigns, agrees:

a) to waive, release and discharge Emergo Academy Inc. and its successors, assigns, parents, subsidiaries, affiliates, employees, managers, members, officers, directors, agents and other representatives, (“Released Parties”) from any and all liability for the death, disability, illness or personal injury of the User, in connection with the recovery, wellbeing, education and other related services and covenants not to sue any of the Released Parties with regard to the same; and

b) protect, defend, hold harmless and indemnify each of the Released Parties from and against any and all claims, actions, causes of action, proceedings, suits, costs, liabilities, damages, and expenses, whether known or unknown (including but not limited to all direct, special, incidental, exemplary and consequential damages, and losses of any kind, including lawyer’s fees) based upon, resulting from and/or relating in any way to User’s participation in Emergo Academy’s virtual or live programs.

c) No consent or waiver, express or implied, by a party to or of any breach or default by another party in the performance of such other party of its obligations hereunder shall be deemed or construed to be a consent or waiver to or of any other breach or default in the performance by such other party hereunder. Failure on the part of the party to complain of any act or failure to act of another party or to declare the other party in default, irrespective of how long such failure continues, shall not constitute a waiver by such first mentioned party of its rights hereunder.

d) I further understand that Emergo Academy Inc. makes no representations or warranties on the results that may or may not be obtained after going through Emergo Academy’s Program. As a result, I agree not to pursue a claim, action or refund against Emergo Academy Inc if I am dissatisfied with the results of said program and I fully understand and accept sole responsibility for the choices I make and if I choose to participate in any/all programs I do so assume any/all risk.

JURISDICTION IN THE EVENT OF DISPUTE

The user hereto agrees that if any dispute as between them and Emergo Academy Inc with respect to their relationship as a service and service recipient, whether or not such dispute falls under the terms and conditions of this agreement, both parties will use best efforts to settle the dispute. Where such dispute cannot be settled as between the two parties, then the parties will submit the dispute to binding arbitration in the City of Calgary, in the province of Alberta, before a single arbitrator. Such disputes shall include any disputes arising out of the interpretation of this agreement, and any other disputes arising from the relationship between the parties as service provider and service recipient. Disputes submitted to arbitration will not be limited by the monetary value of any claim advanced by either side, and shall include any claims or disputes regardless of the amount of money claimed, or the nature of the dispute. The Alberta Arbitration Act, (updated April 1, 2023) shall govern such arbitration proceedings. Each party hereto shall select an arbitrator, and those two arbitrators shall appoint the arbitrator who shall arbitrate the dispute between the parties.
